A delay alone does not automatically give you the right to walk away. Your outcome depends on the property type, jurisdiction, signed contract, statutory scheme, and whether a completion, registration, sunset, or long-stop date has passed.
Before paying or signing a variation, have a local property lawyer or licensed conveyancer confirm the deposit holder, trust or escrow arrangements, permitted release events, project milestones, extension rights, final deadline, and refund consequences. Keep the signed contract, deposit receipt, disclosure documents, and every delay notice together. Do not terminate, stop a scheduled payment, or accept a new date based only on an informal assurance.

What deposit protection means in a delayed development
Deposit protection has two separate parts:
- Custody while the project is being built: whether the money remains with an independent stakeholder, trust, controlled-money account, escrow arrangement, bank guarantee, or another legally recognised safeguard.
- Rights when the project changes or stalls: whether you can cancel, obtain a refund, claim interest or compensation, or require the developer to meet a contractual deadline.
These protections are not universal. A pre-construction apartment, a house-and-land package, a proposed subdivision, and a tenancy security deposit may be governed by different laws. Rules also vary between countries and between states or provinces. Treat every example below as jurisdiction-specific, not as a global entitlement.

- an off-the-plan strata or condominium unit;
- a proposed subdivision lot;
- a house-and-land package with separate land and building contracts;
- a completed home with a delayed settlement; or
- a rental property for which you paid a tenancy security deposit.
A rule protecting an off-the-plan condominium deposit may not apply to a land-only contract. Likewise, a plan-registration deadline is not necessarily a construction-completion deadline. Ask your adviser to identify the statutory scheme and contract provisions that actually cover your purchase.
Before you pay or sign: make the deposit traceable and conditional
Obtain the complete contract and disclosure pack
Do not rely on a reservation form, brochure, sales estimate, or draft summary. Obtain the fully signed contract, schedules, disclosure statement, proposed plans, specifications, amendments, and any separate building or land agreement. Ask your lawyer to mark every deposit instalment, the person or entity receiving it, and each event that permits release.
Confirm who holds the money
Ask for the stakeholder’s legal name, account type, receipt, and written confirmation of the custody arrangement. The key questions are:
- Is the money held in trust, escrow, a controlled-money account, or another protected arrangement?
- Can the developer access it before settlement or another defined completion event?
- Can it be transferred to a related company?
- What happens if the plan is not registered, the project is cancelled, or the contract is terminated?
- Does the contract provide interest on the deposit, and who receives it?
In Western Australia, consumer guidance specifically recommends asking about a deposit trust arrangement and recording the arrangement in the contract. In other jurisdictions, the exact statutory protection must be verified rather than assumed.
Map the project milestones
Request a written status report covering planning approvals, finance, construction progress, subdivision or strata-plan registration, anticipated completion, and outstanding preconditions. Ask which dates are binding and which are only estimates. NSW buyer guidance recommends asking what milestones remain and whether the developer can extend sunset or completion dates.

Read every date and extension mechanism
Highlight:
- the contractual completion or settlement date;
- any tentative date and the date that becomes binding;
- the plan-registration deadline;
- the sunset or long-stop date;
- the events that allow an extension, such as specified approvals, force majeure, or buyer-caused delay;
- the notice method and minimum notice period;
- the deadline for objecting to a variation; and
- the consequences of expiry, termination, refund, interest, or deductions.
A salesperson’s forecast is not a substitute for the operative date in the contract. Ask your adviser to explain whether the developer can extend a date unilaterally, needs your written consent, or must satisfy a statutory condition.
Check design-change and separate-contract risks
Ask whether the developer may alter the layout, area, finishes, common property, parking, services, or specifications. Find out what counts as a material change and whether it gives you a right to rescind, compensation, or only a notice. If land and construction contracts are separate, ask what happens if one completes while the other does not, and whether default under one agreement triggers default under the other.
Record cooling-off rights before you need them
Cooling-off periods are short and often calculated from a particular delivery of documents. NSW Government guidance describes a 10-business-day off-the-plan cooling-off period and a forfeiture of 0.25 per cent of the purchase price if the buyer withdraws during that period, subject to waiver or shortening rules. Ontario guidance describes a 10-day cancellation period for a new or pre-construction condominium after the buyer receives the fully signed agreement, disclosure statement, and buyers’ guide. Neither period should be transposed to another jurisdiction or property type.
Consider additional security
Ask counsel whether a bank guarantee, deposit bond, individual guarantee, or another form of security is available, acceptable to the seller, and properly documented. For Spain, UK government guidance for off-plan purchases advises obtaining an individual bank guarantee for stage payments and evidence of a special escrow account; it also notes that the statutory guarantee obligation begins after planning permission. Confirm the current Spanish requirements locally before relying on that guidance.

| New South Wales, Australia | For covered off-the-plan contracts, deposits and instalments remain with the stakeholder in trust or controlled money during the contract period and cannot be released to the vendor before settlement. Buyers receive the final registered plan and associated documents at least 21 days before settlement in the described process. | Confirm that the transaction meets the statutory definition and check the current legislation and contract. The source also describes protections concerning materially inaccurate information and sunset-clause termination. |
| Queensland, Australia | For covered off-the-plan contracts, deposits stay in trust and may be released only at settlement or when the contract otherwise finalises and the seller is entitled to the money. Reforms commencing 22 November 2023 restrict a seller’s use of a sunset clause to end specified land-sale contracts, subject to exceptions. | The cited reform summary excludes community titles schemes such as apartments. Verify the property category and contract date. |
| Western Australia | Consumer guidance recommends checking deposit-trust arrangements, interest, progress, deadlines, delay consequences, and strata-plan rights. It says buyers may have Australian Consumer Law rights where delay is unreasonable. | The release and cancellation position depends on the contract and transaction. In the relevant strata context, the guidance says funds may become accessible after plan registration unless the contract prevents it. |
| Victoria, Australia | A buyer may end the contract and recover the deposit if the subdivision plan is not registered by the contractual deadline or, where no deadline is specified, the default period of 18 months. | This is a plan-registration trigger, not a universal remedy for construction delay. |
| Ontario, Canada | For a new or pre-construction condominium, buyer guidance says the deposit must be held in trust. It describes a 10-day cancellation right after receipt of the fully signed agreement, disclosure statement, and buyers’ guide; the deposit and payable interest are generally refunded when that right is exercised. | Confirm the project type, documents received, and current statutory scheme. |
| England and Wales | GOV.UK guidance says completion can move earlier or later, a mortgage offer may need refreshing, and a contract may include a long-stop date allowing withdrawal after a long delay. | A long-stop right exists only if the contract creates it and its conditions are met. |
| Spain | UK government country guidance advises an individual bank guarantee for off-plan stage payments and proof of a special escrow account. It says the statutory guarantee obligation begins after planning permission. | Obtain current Spanish legal advice on the project, guarantee wording, account, and planning status. |
What to do when construction is already delayed
1. Assemble the evidence
Save the signed contract and schedules, deposit receipt, disclosure statement, plans, specifications, sales correspondence, progress reports, formal notices, revised completion dates, and every request to extend or vary the agreement. Keep the original emails and attachments with their dates. A clear chronology helps your adviser determine whether a notice was valid and whether a deadline has expired.
2. Request a written status and legal basis
Ask the developer to state:
- the reason for the delay;
- the current construction, approval, and registration milestones;
- the revised expected completion or settlement date;
- whether the plan-registration or sunset date is being extended;
- the clause or statutory power relied on;
- what notice has been given to buyers and lenders; and
- whether any design, price, specification, or contract change is proposed.
Keep your questions factual and written. Avoid language that could accidentally accept a variation or waive a right before advice is obtained.
3. Obtain a contract review before acting
Have a local property lawyer or licensed conveyancer check the exact notice dates, extension clause, completion definition, plan-registration requirement, sunset or long-stop mechanism, and refund process. NSW and Queensland buyer guidance expressly encourages independent legal advice for off-the-plan purchases; GOV.UK guidance says your legal representative should explain the contract terms.
4. Protect the financing timetable
Tell your lender as soon as completion may move. Ask when the mortgage approval, valuation, rate lock, interest-only period, or other funding condition expires and what must be refreshed. GOV.UK warns that a mortgage offer may need to be renewed when the build completion date changes. Do not assume an approval remains available merely because the original application was accepted.
5. Verify the exit mechanics before serving notice
If the contract or local law may permit termination, confirm with counsel:

- where the notice must be sent;
- when the deposit is to be returned;
- whether interest is payable;
- what deductions are authorised; and
- whether termination affects finance, tax, conveyancing, or other agreements.
Do not promise yourself a refund or compensation amount until the contract and applicable law have been checked.
What if the design or specification changes?
Delay and alteration can interact. A change may affect area, boundaries, views, car parking, common property, finishes, access, services, or the development’s approval. Ask for the revised plans, a marked comparison with the original documents, the reason for the change, and the effect on price, completion, registration, and financing.
Then ask your adviser whether the change is:
- permitted without consent;
- subject to a notice and objection period;
- material enough to trigger rescission or compensation;
- connected to a new disclosure document; or
- evidence that the contract’s original description was inaccurate.
NSW Government buyer guidance frames the issue directly: “What are my rights if construction is delayed or the design is altered?” The answer depends on the contract and statutory scheme, not on the developer’s description of the change as minor.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Sunset dates, long-stop dates, and registration deadlines
Sunset and long-stop clauses
A sunset or long-stop clause is a contractual deadline after which specified consequences may arise. Some clauses let the buyer terminate; others let the developer terminate or extend the date. Read who controls the extension, what notice is required, and whether consent is needed. GOV.UK states: “A long-stop date can be written into your contract, which permits you to withdraw from the purchase in the event of long delays to the property being finished.” That wording describes a possible contractual route, not an automatic right in every purchase.
Registration deadlines
Registration can be separate from physical construction. A development may look complete while the subdivision or strata plan remains unregistered. Victoria’s guidance illustrates this distinction by referring to a contractual plan-registration deadline or a default 18-month period where the contract does not specify one. Use the trigger stated in the applicable law and contract, rather than treating practical completion as registration.

Developer extensions
Before signing an extension, ask whether it changes the sunset or long-stop date, releases the developer from an existing breach, changes the deposit release conditions, affects your finance, or waives a right to terminate. NSW buyer guidance specifically encourages buyers to ask: “Can the developer extend sunset dates or the date for completion? In what circumstances?” Obtain the answer in a formally drafted variation reviewed by your adviser.
Questions to put in writing before agreeing to a revised date
- What contractual clause permits the new date?
- Is the date a firm deadline, an estimate, or a further notice date?
- Does the extension require my written consent?
- What events caused the delay, and which are within the developer’s control?
- Has the subdivision or strata plan been lodged, approved, or registered?
- Will my deposit remain in trust or controlled funds throughout the extension?
- What happens if the new date is missed?
- Will any design, price, specification, or financing term change?
- Does signing the variation release existing claims or waive termination rights?
- Who pays any additional legal, valuation, lender, storage, rent, or inspection costs caused by the delay?
Common mistakes that put deposits at risk
- Assuming delay equals cancellation: many contracts require a specific date, notice, or statutory trigger.
- Relying on a salesperson’s promise: an informal assurance may not amend the signed contract.
- Signing an extension immediately: the document may waive a right or reset the final deadline.
- Stopping payments without advice: withholding an instalment can create buyer default.
- Ignoring registration: construction progress does not prove that a plan has been registered.
- Missing a cooling-off or notice deadline: the clock may run from delivery of specified documents, not from your first inspection.
- Overlooking separate contracts: a land contract and building contract may have different dates and default provisions.
- Failing to alert the lender: an expired approval can create a funding problem even where the deposit remains protected.
- Assuming another jurisdiction’s protection applies: NSW, Queensland, Victoria, Ontario, UK, WA, and Spain examples cannot be combined into one rule.
A practical decision framework
Use this sequence with your adviser:
- Classify the purchase: identify the jurisdiction and property type.
- Trace the money: confirm the stakeholder, account, trust or guarantee, release event, and interest treatment.
- Locate the operative date: distinguish completion, settlement, registration, sunset, and long-stop dates.
- Test the delay notice: check its contractual authority, timing, delivery, and stated reason.
- Assess the change: compare plans, specifications, area, and approvals with the contract.
- Check funding: confirm that finance and valuations remain valid.
- Choose an action: continue, negotiate a documented variation, reserve rights, or terminate only after legal confirmation.
- Document the outcome: keep the signed variation, notice, refund confirmation, or updated completion statement.
When professional advice is essential
Use a jurisdiction-specific property lawyer or licensed conveyancer before paying a substantial deposit, signing a variation, accepting a sunset extension, terminating, or withholding money. Ask for a written review that identifies the deposit holder, release restrictions, critical dates, notice requirements, design-change rights, refund mechanics, and financing implications. This is an option for local legal advice, not a guarantee that a deposit will be recovered.
Bring the adviser a complete file rather than selected emails. Include the contract, all schedules, receipt, disclosure documents, plans, payment records, notices, revised dates, and lender correspondence. The quality and speed of the advice will often depend on whether the chronology and documents are complete.
Bottom line
Protecting a development deposit starts before payment: verify independent custody, make release conditions explicit, and record the milestones and final deadline in the contract. If a delay occurs, preserve every document, demand a written explanation, protect your financing, and obtain local advice before agreeing to a new date, stopping a payment, or ending the contract. The correct remedy is determined by the particular property, jurisdiction, contract, and deadline—not by the fact of delay alone.
