How to Prevent Construction Disputes With a Clear Contract and Scope of Work

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The most reliable way to prevent a construction dispute is to treat the contract, scope, drawings, pricing, schedule and project records as one control system. Define exactly what is included and excluded before signing, assign every interface, set a written change process, and preserve dated evidence. A clear scope alone cannot prevent every disagreement, but a coordinated contract and disciplined records make entitlement, price and time much easier to establish.

Why construction disputes start before work begins

Most disputes are not caused by one dramatic event. They grow from an unclear promise: a drawing that conflicts with a specification, an allowance that nobody defines, an owner-furnished item that arrives late, or a verbal instruction that changes the work without changing the price or completion date. When the parties later remember the agreement differently, the project team must reconstruct intent from incomplete records.

As an Amazon Associate I earn from qualifying purchases.

AIA Contract Documents reports an average dispute value of $60 million in 2025, as reproduced on its scope-dispute page. The same page reports HKA’s finding that scope-related issues account for more than 25% of project disputes; it does not state HKA’s publication year, so that percentage should not be treated as a dated annual statistic. These figures do not predict the value of a particular project. They show why scope administration deserves the same attention as estimating and scheduling.

AIA summarizes the principle plainly: “Scope changes are inevitable in construction. Disputes are not.” Its related warning is equally practical: “If it isn’t documented, it doesn’t exist contractually.” Those are management rules, not a substitute for jurisdiction-specific legal advice.

  • Ambiguous scope: the contract does not say what the contractor must furnish, install, test, protect or remove.
  • Unassigned interfaces: two trades each assume the other will provide a support, connection, opening, temporary service or finish.
  • Uncoordinated documents: the proposal, drawings, specifications, addenda and schedule describe different requirements.
  • Informal changes: a field conversation changes the work, but nobody records the effect on cost or time.
  • Misaligned commercial terms: the pricing method, allowances, retainage, payment dates and notice rules do not match how the work will actually be delivered.

Build a coordinated contract package before signing

Identify the parties, authority and project

Use each party’s full legal name and state its role: owner, contractor, architect, construction manager, subcontractor, supplier or other consultant. Identify the project, site address, facility use and the physical limits of the work. State who may issue binding instructions and who may approve a change. A person who can answer a technical question is not automatically authorized to increase the contract sum or extend the contract time.

Define the deliverables and the quality standard. “Complete the renovation” is not a measurable obligation. A better description identifies the rooms or areas, systems, finishes, performance criteria, inspections, testing, commissioning and closeout documents. Include milestone dates and the event that establishes commencement, such as a notice to proceed or access to the site.

Establish document precedence and cross-references

List every document that forms the agreement and attach or identify it precisely: contract conditions, drawings by number and revision, specifications by section and issue date, addenda, accepted alternates, schedules, the contractor’s proposal and written qualifications. A scope should refer to the relevant drawing sheets and specification sections instead of relying on a general phrase such as “all work shown.”

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Resolve conflicts before execution. If the specifications require one product and the drawings show another, decide which controls and record the decision in an addendum or clarification. State the order of precedence for conflicts among the agreement, general and supplementary conditions, specifications, drawings, addenda and accepted proposal. Do not assume a court or arbitrator will infer the hierarchy you intended.

Turn assumptions into written conditions

Proposals often contain qualifications about access, working hours, existing conditions, utility capacity, hazardous materials, weather, permits or owner-furnished equipment. Each assumption should be accepted, rejected or converted into a measurable contract requirement. An unaccepted qualification is a future argument, not a protection.

  • Describe site access, laydown, hoisting, parking, security and working-hour restrictions.
  • Identify existing-condition information supplied by the owner and state what the contractor may reasonably rely on.
  • Allocate responsibility for surveys, utility locating, temporary power and water, protection of occupied areas and dust or noise control.
  • State who obtains each permit, pays each fee and schedules each inspection.
  • Identify owner-furnished materials and equipment, required delivery dates, storage responsibility and consequences of late or defective delivery.

Write the scope so a third party can price and verify it

Describe inclusions by work package

Organize the scope by trade, system, area or sequence. For each package, state the required labor, materials, equipment, supervision, protection, temporary work, testing, cleanup and closeout. Include furnishing as well as installation; “install owner-supplied doors” does not necessarily include frames, hardware, storage, protection or adjustment.

For civil work, identify survey control, excavation limits, unsuitable soil treatment, dewatering, testing and restoration.

State exclusions expressly

AIA’s instructions for the A401–2017 subcontract form call for precise references to drawings and specifications and explicit excluded work. A useful exclusion is specific enough to show where responsibility stops: “The electrical subcontractor excludes the owner’s data cabling beyond the telecommunications room; the low-voltage subcontractor provides that cabling, terminations and testing.” “By others” without naming the responsible party leaves the gap open.

List exclusions beside the related inclusion so they cannot be separated from context. Address common omissions such as permits, engineering, shop drawings, mockups, temporary facilities, protection, cleanup, testing, commissioning, as-built drawings, operation manuals and warranty work. If an item is an allowance or unit price rather than a fixed inclusion, label it that way and state how adjustment will be calculated.

Assign interfaces and handoffs

Create an interface list for work that crosses contracts. Examples include embeds and sleeves, equipment pads, roof penetrations, controls wiring, fire alarm connections, access panels, patching after installation, final painting, utility releases and owner training. Name the party responsible for design, furnishing, installation, coordination, inspection and correction for each interface. Require coordination drawings or meetings where one trade’s work must be complete before another can proceed.

Coordinate owner-contractor and subcontract scopes

A prime contract can promise the owner a complete facility while a subcontract covers only a narrow trade description. If a portion of the prime scope is omitted from every subcontract, the general contractor may have no additional owner funds to perform it and may still face a subcontractor request when someone is directed to fill the gap. ABA Forum on Construction Law identifies this scope-gap risk as a recurring payment and recovery problem.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Use a scope matrix that compares the owner’s requirements with each subcontract and supplier purchase order. Mark who designs, furnishes, installs, connects, tests, protects, removes and documents each item. Reconcile the matrix against the latest drawings, specifications, addenda and accepted alternates. Update it when a change is issued.

Flow down only obligations that are actually relevant and legally effective. A subcontract should identify the prime-contract provisions incorporated into it, the documents supplied to the subcontractor and any modified notice or payment terms. Do not assume that a broad “all terms flow down” sentence solves a conflict between the prime contract and the subcontract.

Choose pricing terms that match the unknowns

Pricing structure Works best when Scope and risk questions to answer
Fixed price Design, quantities and site conditions are sufficiently defined. Which items are included in the lump sum? How are owner changes, allowances, escalation and differing conditions valued?
Cost-plus The work must start before the final scope or quantities are known. Which costs are reimbursable? What markup, audit rights, billing backup, controls and not-to-exceed limits apply?
Unit price Quantities are uncertain but measurable units can be defined. What measurement method, quantity verification, minimums, thresholds and adjustment rules apply?
Guaranteed maximum price The parties want cost reimbursement with an upper limit. What is included in the cap, what is an allowance or contingency, who owns savings, and what happens when a change consumes the contingency?

Regardless of structure, state the contract sum or pricing basis, allowances, unit prices, taxes, insurance, bonds, retainage, invoicing requirements, payment dates and interest for late payment. Explain what backup accompanies an invoice and whether payment depends on approved progress, stored materials, lien waivers or other conditions. A price clause that omits the measurement or approval method simply moves the dispute into the payment process.

Set a schedule that can be administered

Define notice to proceed, commencement, milestone dates and substantial completion. State how final completion and closeout are measured. Require schedule updates at a stated interval and identify the accepted baseline. Explain how weather, abnormal site conditions, owner-caused delay, design information, late decisions, utility outages and concurrent delay affect time.

For an extension request, require a notice deadline, a description of the event, the affected activities, the contemporaneous schedule update and mitigation steps. Distinguish a calendar-day extension from compensation for delay. A time extension may protect against liquidated damages without automatically establishing entitlement to extra cost.

Require the contractor and subcontractors to keep daily records showing labor, equipment, deliveries, areas worked, access restrictions, instructions, inspections, weather and delays. Dated photographs and marked-up plans often establish conditions that cannot be recreated months later.

Use a written change-order system

A change is not only an addition to the drawings. It may be an omission correction, substitution, owner preference, design clarification, differing site condition, acceleration request, deleted work or change in sequence. The contract should distinguish who may propose, direct, price and approve each type.

A practical change workflow

  1. Identify the potential change. Record the date, source, reason, location and person who raised it. Preserve the relevant RFI, meeting minute, sketch, site condition or directive.
  2. Define the revised scope. Describe the new, deleted or substituted work and identify every affected drawing, specification, schedule activity and subcontract.
  3. Price the effect. Evaluate labor, materials, equipment, subcontractor costs, overhead, profit, taxes, credits, allowances and unit prices. Attach quotations, takeoffs, timesheets or other support.
  4. Evaluate time and critical-path effects. State added or deleted days, affected milestones, sequencing, access and mitigation. Do not treat a cost estimate as a schedule analysis.
  5. Review reasonableness and resolve differences. Confirm that the proposal includes all interfaces and does not duplicate work already in the base scope. Record assumptions and unresolved items.
  6. Authorize in writing. Execute the contract’s change order or directive instrument before proceeding whenever practicable. Include dated attachments and signatures from the people authorized by the agreement.
  7. Update project controls. Revise the contract sum, schedule, logs, forecasts, scope matrix, subcontract commitments and payment applications.

AIA describes this sequence in its change-order guidance. Its G701 form records a change in the work and any adjustment to contract sum and contract time. Its G714 form can allow work to proceed before full cost and time agreement when the contract permits that directive mechanism. The specific edition and jurisdiction matter; use the form family only as a standardized starting point and have the contract reviewed for the project.

Choose the right instrument

Situation Record or instrument Minimum record
Scope, price and time are agreed Signed change order Revised work, affected documents, contract-sum adjustment, contract-time adjustment, dated attachments and signatures
Work must proceed before cost or time is agreed Contractual change directive Written direction, interim pricing method, daily time and cost records, and a later executed change order
Clarification or minor change has no sum or time effect Authorized supplemental instruction Clarification, affected documents and confirmation that contract sum and time do not change
Entitlement or valuation is disputed Written notice or claim under the contract Notice date, issue, factual basis, cost and schedule evidence, and reservation of rights

Never rely on a field conversation as the only authorization. If emergency work is necessary to protect people or property, document the emergency, the direction, the work performed and the cost and time evidence immediately, then follow the contract’s formal process.

Make payment and claim clauses operational

Payment provisions should answer practical questions: What amount is due? On what date? What invoice format and backup are required? How is retainage calculated and released? Is interest charged on late payment? What notices preserve a payment or delay claim? How are disputed amounts separated from undisputed amounts?

State the notice period and delivery method for differing site conditions, delay, extra work, acceleration and claims. Identify the recipient and the information required. A short notice that preserves rights can be followed by detailed pricing; silence until final payment is far harder to defend.

Decide whether the contractor must continue work while a claim is pending and how undisputed payment continues. ABA Forum on Construction Law quotes FAR 52.233-1(i): “The Contractor shall proceed diligently with performance of this contract, pending final resolution of any request for relief, claim, appeal, or action arising under the contract, and comply with any decision of the Contracting Officer.” It also quotes AIA A201–2017 §15.1.4.1, which requires continued performance and continued owner payments pending final claim resolution, subject to stated exceptions. These are examples of contract language, not universal rules for every private project.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Select a dispute process before there is a dispute

Method Useful characteristics Questions to settle in the contract
Mediation A facilitated, nonbinding settlement process that can preserve business relationships. When must mediation occur, who pays, may work continue, and can unresolved claims proceed to another forum?
Arbitration A private adjudicative process whose scope and procedures depend on the clause and applicable law. What rules, administrator, location, number of arbitrators, discovery limits, interim relief and fee allocation apply?
Litigation Proceedings in a specified court with public rules and appeal rights defined by law. What governing law and venue apply, what court has jurisdiction, and are consolidation or jury-trial provisions permitted?

Name the governing law and venue, and coordinate the prime contract, subcontracts and design agreements so that related disputes can be heard together where appropriate. A construction lawyer should review the selected method, especially for public work, lien rights, payment-bond claims or projects involving multiple states.

Recordkeeping that supports the written contract

Assign ownership for the project record. A useful system preserves the executed agreement and every revision, addendum, RFI, submittal, instruction, change proposal, change order, directive, schedule update, invoice, waiver, delivery ticket, inspection, test, meeting minute, daily report, photograph and notice.

  • Use consistent file names with project, document type, number, revision and date.
  • Keep a change log showing status, responsible reviewer, requested response date, cost, time and authorization.
  • Link each cost and schedule entry to the change or claim it supports.
  • Issue meeting minutes promptly and invite corrections by a stated deadline.
  • Preserve originals and an audit trail for revised drawings, specifications and approvals.
  • Record rejected, withdrawn and superseded documents rather than deleting them.

Daily records should be factual rather than argumentative. Note who was present, what work was performed, quantities, equipment, access, weather, inspections, deliveries, instructions and interruptions. If a condition is disputed, describe the observation and its location, photograph it and send the required notice; do not wait for agreement on the legal conclusion.

Pre-signing checklist for owners and contractors

  • Confirm legal names, roles, authority and notice addresses.
  • Describe project limits, facility use, deliverables, quality standards and completion milestones.
  • Attach and cross-reference controlling drawings, specifications, addenda, accepted alternates, schedules and proposal qualifications.
  • List inclusions, explicit exclusions, owner-furnished items, existing-condition assumptions and interfaces.
  • Assign permits, temporary facilities, protection, cleanup, testing, commissioning and closeout.
  • State contract sum or pricing basis, allowances, unit prices, taxes, retainage, invoicing, payment dates and late-payment interest.
  • Define notice to proceed, commencement, substantial completion, extensions, weather and site-condition treatment, and schedule-update duties.
  • Require written authorization for changes and define the authorized directive process.
  • Distinguish RFIs, architect supplemental instructions, directives, change orders and claims.
  • Set notice deadlines and require dated photos, correspondence, delivery records, daily reports and meeting minutes.
  • Select mediation, arbitration, litigation or another named process, with governing law and venue.
  • Have qualified construction counsel review the final package for the project jurisdiction and contract type.

Standard forms versus bespoke drafting

Standard-form documents can supply familiar definitions, notice mechanisms and change procedures, reducing the chance that a basic administrative clause is forgotten. The AIA A201/G701 document family is one example of a standardized starting point. Confirm the edition, amendments, licensing terms and jurisdictional fit, and tailor the documents to the actual project rather than attaching a form without reconciling it to the drawings and proposal.

Bespoke drafting can address unusual phasing, occupied facilities, performance guarantees, complex interfaces or public-contract requirements more precisely. It also increases drafting and coordination effort. Either approach fails if the exhibits conflict, exclusions remain implicit or the parties use a form’s procedure inconsistently in the field.

What to do when a dispute is already developing

  1. Check the executed agreement and the document-precedence clause before taking a position.
  2. Send any required notice within the contractual deadline, using the specified delivery method.
  3. Separate undisputed work and payment from the disputed entitlement or valuation.
  4. Preserve the baseline scope, current drawings, daily records, correspondence, costs and schedule evidence.
  5. Ask the authorized decision-maker for a written instruction or clarification; do not treat an informal reply as a price agreement.
  6. Prepare a chronology and a document index so the factual issue can be reviewed quickly.
  7. Follow the contract’s escalation, mediation, arbitration or litigation procedure and obtain jurisdiction-specific legal advice.

Do not destroy or rewrite records after a claim is anticipated. Keep factual project records separate from privileged legal advice, and follow counsel’s instructions about preservation and communications.

Final principle

Dispute prevention is a repeated operating discipline: define the work, coordinate every contract exhibit, allocate interfaces, price the unknowns honestly, authorize changes in writing, preserve notice deadlines and maintain records that show what happened. The contract should tell the project team what to do on an ordinary day and on the day the scope, cost or schedule changes. When those instructions are specific and consistently followed, disagreements can still occur, but they are less likely to become expensive arguments about what anyone ever agreed to.
