Check dates, quantities, indices, thresholds, caps and exclusions against source records, then use the contract’s notice and claim procedure without stopping required performance. The contract and governing law control; the federal rules discussed below are only an example for contracts that incorporate them.
What a price-adjustment dispute actually concerns
A price adjustment is not established merely because labor, fuel, materials or an index became more expensive. The signed agreement must authorize an adjustment, identify the eligible cost or index, define the baseline and adjustment dates, and state how the result is calculated. An owner, general contractor or subcontractor can therefore challenge either the arithmetic or the underlying entitlement.
As an Amazon Associate I earn from qualifying purchases.
- Mathematical or input dispute: The clause permits an adjustment, but an index, date, quantity, weighting, unit rate or operation in the submitted calculation is wrong.
- Contract-interpretation dispute: The parties disagree about whether a cost category, work period, change order, delay period or event qualifies under the clause at all.
- Documentation dispute: The calculation may be plausible, but the claimant has not supplied records that allow the other party to reproduce it.
Keep those issues separate. A corrected spreadsheet cannot resolve a disagreement over the meaning of the clause, and an interpretation argument cannot excuse an arithmetic error.
1. Establish which contract language governs
Collect the complete contract record
Obtain the executed agreement, every incorporated schedule, the price-adjustment clause, amendments, addenda, change orders and written clarifications. Identify the version in force during the disputed work or billing period. A later amendment may change the baseline, eligible work or notice process without rewriting earlier work retroactively.

Also identify the parties’ roles and the document that controls priority if terms conflict. A subcontract may incorporate an upstream clause but add a different notice period or pass-through condition. Do not assume that a familiar industry form, a bid assumption or a purchase order summary overrides the signed text.
Make a clause map
| Question | What to locate in the contract |
|---|---|
| Trigger | The event or movement that activates an adjustment, such as a specified index change or a material-cost increase. |
| Baseline | The date, bid price, wage rate, index level or other starting value. |
| Adjustment date | The date or period at which the current value is measured. |
| Eligible cost | Named labor classifications, material items, work categories or unit prices. |
| Weighting | The proportion of the contract price or quantity subject to the change. |
| Formula | The exact mathematical operation, including rounding and sign conventions. |
| Limits | Thresholds, floors, ceilings, caps, exclusions, offsets and recovery of decreases. |
| Procedure | Notice recipient, delivery method, deadline, required supporting data and escalation path. |
Write the clause reference beside each item. If the contract is silent, say that the point is unresolved rather than filling the gap with a standard CPI or construction-index formula.
2. Rebuild the calculation in a reproducible sequence
Convert the submitted calculation into a chain that another person can follow:
- Baseline value and date: Record the original unit price, wage, material cost or index level and the date the clause specifies.
- Current value and date: Record the value used for the disputed period and the publication or transaction date.
- Change calculation: Show the increase or decrease, including whether the formula uses a ratio, percentage difference or dollar difference.
- Weighting or cost share: Apply only the labor, material or other proportion the clause makes adjustable.
- Eligible quantity or work period: Identify the units actually installed, delivered or performed during the qualifying period.
- Trigger and limits: Test any minimum movement, threshold, cap, floor, exclusion or offset before calculating the final amount.
- Result and effective date: State the adjustment per unit and in total, and identify when it applies.
Use separate lines for each labor classification, material, index series or change-order item. A single percentage applied to the entire contract value can conceal ineligible work or double counting.
3. Verify index and source data
Confirm the index is the one named
For an index-based clause, record the publisher, series name or code, geographic scope, base period, unit and publication frequency. Two series with similar names can produce different results. A national index may not match a regional series, and a general construction index may not be the contract’s named material index.

- One-Handed Loading - Keep one hand free with a 1/4 in. hex chuck that accepts 1 in. bit tips
Match the dates and publication rules
Check whether the clause uses the index published in a particular month, the value available on a specified date, a monthly average or the value for the month work occurred. Note how the clause handles a missing, revised or discontinued publication. Do not silently substitute a later revision or a different series.
Trace transaction-based inputs
Where the clause uses actual costs rather than an index, compare the calculation with contemporaneous invoices, supplier quotes, delivery records, payroll or wage records and quantity takeoffs, as applicable. These examples are not universally required; use the records the contract or applicable law calls for. Confirm that taxes, freight, escalation surcharges and discounts are treated consistently with the clause.

Random freezes, missing sound and display glitches usually trace back to one bad driver. Find and replace yours safely.Free scan · under a minute4. Audit eligible quantities, dates and work
Reconcile the claimed quantity with approved schedules, daily reports, delivery tickets, measured work and payment applications. Then test the time period:
- Was the work performed after the clause’s effective date?
- Does the adjustment apply to the original scope, changed work, or both?
- Are stored materials treated differently from installed materials?
- Has the same quantity already received an adjustment in an earlier payment?
- Were delays, suspension or owner-directed resequencing addressed by a separate contract mechanism?
Mark every assumption. If the claimant uses estimated quantities, identify the estimate and replace it with approved or measured quantities when available.
5. Test thresholds, caps, exclusions and offsets
Apply limits in the order the clause requires. A threshold may determine whether an adjustment is triggered; a cap may limit the amount after the trigger; an exclusion may remove a cost category entirely. Check whether decreases must be passed through as well as increases and whether an earlier adjustment reduces the remaining cap.

Federal example: FAR 52.216-4
The Federal Acquisition Regulation clause titled “Economic Price Adjustment—Labor and Material” applies only when it is included in the relevant U.S. federal contract. Under that particular clause, adjustments are limited to listed labor rates and material unit prices, specified categories are excluded, a 3% net-change threshold applies, and aggregate increases are capped at 10% of the original unit price. The clause also allows examination of relevant supporting records for the stated period. These figures are not general rules for private construction.
Recommended Free Tools
| FAR 52.216-4 item | Qualified rule |
|---|---|
| Notice | Generally due within 60 days after the relevant increase or decrease, unless an additional period is approved in writing, and no later than final payment. |
| Threshold | 3% net change under the clause’s stated mechanics. |
| Aggregate cap | Increases limited to 10% of the original unit price. |
| Scope | Listed labor rates and material unit prices; specified categories are excluded. |
| Effective date and amount | Negotiated by the parties under the clause. |
The clause requires the notice to include the contractor’s proposed adjustment and supporting data explaining the cause, effective date and amount of the increase or decrease. It states: “The Contractor shall continue performance pending agreement on, or determination of, any adjustment and its effective date.” Do not import its 60-day period, 3% threshold or 10% cap into a private contract.
6. Prepare a side-by-side challenge schedule
Your submission should let the recipient reproduce both calculations. Use one row for each disputed component.
| Component | Claimant’s value or operation | Contract source | Challenge and corrected value | Difference |
|---|---|---|---|---|
| Baseline index or rate | The value used and its date | Clause paragraph and incorporated schedule | Correct series, rate or date, with source record | Dollar effect |
| Current index or rate | The value used and publication date | Named publisher and series in the clause | Correct published value or documented transaction cost | Dollar effect |
| Weighting | Percentage applied | Labor/material share permitted by clause | Eligible share only | Dollar effect |
| Quantity | Units or work period claimed | Schedule, measurement or change order | Approved or measured quantity | Dollar effect |
| Threshold or cap | How the limit was applied | Clause limit | Correct trigger, ceiling, floor or offset | Dollar effect |
Show the formula in plain text and attach the spreadsheet with cell references or an equivalent calculation trail. Distinguish a disputed input from an alternative reading of the clause. State which assumptions are agreed, which are provisional and which require a contract interpretation decision.
7. Illustrative index calculation
The following numbers are purely illustrative and are not a universal contract formula. Assume a clause makes 40% of a $500,000 eligible work package adjustable, uses an index of 210 at the baseline date and 231 at the adjustment date, and contains no threshold or cap.

These marking pencils are much thicker and stronger than normal pencils during the marking process of construction work, suitable for various surfaces, such as glasses, metal, boards, floors, walls, furniture, etc. The written marks can be easily wiped with a wet paper towel when needed
- Index movement: (231 − 210) ÷ 210 = 10%.
- Adjustable value: $500,000 × 40% = $200,000.
- Adjustment: $200,000 × 10% = $20,000.
If the clause instead required a 3% threshold, the parties would need to determine whether that threshold is applied to the index movement, the weighted adjustment or another defined measure. If it imposed a cap, the cap would be tested after applying the contract’s specified sequence. A different clause could use actual invoices, a monthly average or a different eligible share and would produce a different result.
8. Give timely written notice
Use the notice form, recipient and delivery method stated in the contract. Identify the clause, the event or data change, the effective date, the amount claimed or disputed, and the supporting schedule. Attach enough information to show the issue without burying the recipient in unrelated project records.
Keep proof of submission and receipt: dated correspondence, transmittal, portal confirmation, courier record or other contract-compliant evidence. Do not wait for informal discussions if a notice deadline is running. If the amount is not final, state the amount then known and explain how supplemental information will be provided, but only if the contract permits that approach.
Preserve performance and payment obligations while the dispute proceeds unless the contract and applicable law clearly authorize another course. A price dispute does not automatically permit suspension, withholding or unilateral setoff.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problems9. Request the records needed to reproduce the other calculation
Make a focused written request for the formula, source data and version of the clause used. Ask for records that bear directly on the disputed inputs, such as the index publication, quantity backup, invoices, wage records or change-order measurements, where the contract or applicable law permits access. Explain why each requested item is necessary to test a specific row in the schedule.

Keep a dated log of requests, responses, corrections and unresolved items. If the other party supplies a revised calculation, preserve the prior version and identify exactly what changed. This prevents a moving spreadsheet from obscuring the original dispute.
10. Use the contract’s escalation and claim process
Negotiation and project-level review
Start with the contract’s designated representatives and any required meeting or engineer’s determination. Exchange the side-by-side schedule, agree on undisputed inputs and isolate the remaining interpretation questions. Record partial agreements in writing, including whether they resolve only one payment period or the entire adjustment.
Mediation, arbitration or court
Follow the sequence actually written into the agreement. A clause may require a notice, meeting, senior-management review, mediation and then arbitration or litigation. Missing a step can affect the claim even when the arithmetic is correct. Confirm the governing law, forum, filing period and any bond or public-contract requirements with counsel when the amount or project consequences are material.

Federal example: FAR 52.233-1
Where FAR 52.233-1 applies, a claim is a written demand or assertion seeking, as a matter of right, payment of a sum certain, adjustment or interpretation of contract terms, or other relief arising under or relating to the contract. Monetary claims above $100,000 require certification under that clause. A claim generally must be submitted to the contracting officer within six years after accrual unless the contract states otherwise; the contracting officer’s decision may be appealed or taken to court under the applicable statute. The parties may agree to alternative dispute resolution, and the clause requires continued performance pending final resolution.
Those are federal-contract procedures, not a deadline or remedy for a private project. For a non federal contract, read the signed dispute clause and governing jurisdiction before relying on any period or certification requirement.
Common failure modes and how to correct them
- Using a familiar CPI without checking the clause: Identify the named series, location, base period and publication rule first.
- Applying escalation to the whole contract: Separate eligible labor, materials, quantities and work periods from fixed or excluded items.
- Ignoring amendments: Build a timeline showing which clause version governed each payment or change order.
- Combining arithmetic and interpretation: Present a corrected calculation and a separate statement of the contractual meaning you seek.
- Relying on an informal email: Send formal notice to the contract-designated recipient and retain receipt evidence.
- Waiting until final payment: Check the notice trigger immediately; some clauses cut off late adjustments.
- Stopping work or withholding money unilaterally: Continue obligations unless the contract and law provide a clear right to suspend or withhold.
- Submitting an unexplained spreadsheet: Tie every number to a clause paragraph and contemporaneous record.
- Assuming federal rules apply elsewhere: Treat FAR provisions as examples only unless the contract incorporates them.
Practical review checklist
- Executed contract, incorporated clause, schedules, amendments and change orders collected.
- Governing clause version and effective period identified.
- Baseline value, baseline date, current value and current date documented.
- Index publisher, series, geography, base period and revision rule confirmed.
- Eligible cost categories, quantities and work periods separated from exclusions.
- Weighting, formula, rounding, trigger, threshold, cap, floor and offsets tested.
- Invoices, quotes, payroll or wage records, delivery logs, measurements and publications matched to inputs where applicable.
- Claimant’s calculation and corrected calculation shown in a side-by-side schedule.
- Arithmetic errors separated from contract-interpretation issues.
- Notice sent to the correct recipient using the required method, with proof of receipt.
- Performance, payment and record-preservation obligations maintained while the dispute is pending.
- Negotiation, mediation, arbitration, board or court route confirmed under the actual contract and governing law.
When to obtain legal or claims advice
Get contract-specific advice before rejecting a material claim, certifying a public-contract claim, withholding payment, suspending work or accepting a settlement that could waive future adjustments. A construction lawyer or qualified claims professional can help distinguish entitlement from valuation, preserve notice rights and assess whether a proposed interpretation is consistent with the governing law. Give that adviser the complete contract record and your calculation schedule, not just the final disputed total.
