How to design conflict avoidance into contract terms

To avoid disputes, write an operating system for problems into the contract before anyone makes a claim. Define who can raise an issue, what information and notice are required, when the parties must meet, which decision-makers become involved, how a neutral is appointed, and exactly when a party may start arbitration or litigation. Then align those steps with the governing law, claims procedure, payment terms, records and project schedule.

What conflict avoidance means in a contract

Conflict avoidance is not a promise that disagreement will never occur. It is a planned response that catches an issue while the project team can still solve it cheaply and preserves a clear route to a binding result if cooperation fails. The process begins with contract administration: intelligible scope, reliable records, workable notice rules and people with authority to make decisions.

The ICC Guide on Effective Conflict Management, published 3 July 2023, organizes its advice around proactive and assisted conflict management. Its pre-action risk assessment approach asks parties to consider likely risks, the merits of a position and the cost of allowing an issue to escalate. That mindset is more useful than adding a generic sentence saying the parties will “negotiate in good faith.”

In construction, the distinction between a claim and a dispute is particularly important. The FIDIC Conditions of Contract for Construction, Second Edition (2017 Red Book) separates claims from disputes and gives detailed treatment to notices and communications. It is a specialized form, not a universal clause for every project or jurisdiction.

Fix avoidable friction in the core contract first

A dispute clause cannot repair an unclear commercial bargain. Before setting the escalation ladder, check the provisions that generate most operational arguments:

  • Scope and deliverables: describe the work, interfaces, exclusions and dependencies in language that the project team can apply without guessing.
  • Acceptance: identify objective tests, review periods, deemed acceptance rules (if intended), correction rights and the person who signs off.
  • Change control: state who may instruct a change, the form of instruction, pricing and time-impact information, and what happens when urgent work must start before price agreement.
  • Payment milestones: connect invoices to measurable events, specify supporting records, set a review and notice process for withholding, and distinguish undisputed amounts from contested sums.
  • Records and communications: name the contract email or portal, keep a common document register, and require contemporaneous diaries, programmes, tests, instructions and meeting minutes.
  • Roles and authority: identify the project manager, contract administrator and escalation offices by role rather than by a person who may leave the project.
  • Programme and dependencies: show assumptions about access, design information, approvals, utilities and other interfaces so that a delay discussion has a factual baseline.

These are practical drafting controls rather than a guarantee of a particular outcome. The objective is to make an issue visible, attributable and capable of being priced or corrected before positions harden.

Create an early issue route before a formal dispute

Use a defined “issue” or “concern” process so a party can ask for help without first asserting a legally characterized dispute. A workable clause answers seven questions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Who may raise it? Permit the contract manager, site lead or other named operational contact to open an issue.
  2. How is it raised? Require a written notice through the agreed channel, while allowing an urgent verbal alert followed by written confirmation.
  3. What must the notice contain? Ask for the relevant clause or instruction, facts and dates, likely effect on cost, time, quality or safety, documents relied on, and a proposed interim action.
  4. When must it be raised? Set a prompt period that fits the project and state the consequence of late notice. Do not assume a contractual notice bar is valid without checking governing law.
  5. Who meets? Name the operational representatives, require a meeting or call within a short stated period, and permit the parties to invite technical or commercial specialists.
  6. What is the output? Require minutes recording agreed facts, actions, owners, dates and any unresolved questions. The process should allow a partial agreement while the balance remains open.
  7. When does it escalate? Define the event that moves the issue to senior representatives—for example, no agreement by the stated date, a missed action, or a material risk requiring authority beyond the project team.

Make clear whether this route preserves contractual claim notices. A helpful sentence can say that an issue discussion does not waive a party’s obligation to give a separate notice under the claims clause. That prevents a well-intentioned meeting from becoming an argument about lost rights.

Use a tiered escalation ladder

Different disagreements need different tools. The following architecture is a drafting framework; the legal effect of each step depends on the contract and applicable law.

Mechanism Best use Choices the contract must make
Direct negotiation Low-formality discussion of an operational or commercial issue Trigger, notice content, attendees, authority, meeting format and end date
Senior representatives Escalation beyond the day-to-day project team Office or role, settlement authority, quorum, meeting deadline and whether a signed settlement binds the parties
Mediation Neutral-assisted settlement where the parties retain control of the outcome Rules, appointment and fallback, place, language, attendance authority, confidentiality and cost allocation
Expert determination A defined technical or valuation question suitable for a specialist decision Scope of reference, qualifications, appointment fallback, procedure, binding effect and correction or appeal limits
Dispute board Ongoing assistance during performance, with recommendations or decisions depending on the model Standing or ad hoc status, number and appointment of members, scope, process, costs, effect and route after non-compliance
Arbitration or litigation Formal adjudicative endpoint and, where available, interim or enforcement remedies Institution or court, seat or venue as applicable, language, governing law, scope, interim relief and interaction with earlier steps

The African Legal Support Facility Guidance on PPP Contractual Provisions supplies illustrative alternatives for mediation, senior-representative panels and dispute review boards. Its bracketed wording requires adaptation, and it cautions that an additional panel or board can add cost and delay. Treat every tier as a design choice, not an automatic improvement.

Draft each tier so it can operate without guesswork

Direct negotiation

State the triggering event and require a short written notice, but avoid making “dispute” the only trigger if the aim is early intervention. List the people who attend and require them to bring the records needed to test the issue. A deadline for the first meeting and a maximum period for this tier prevents an endless exchange of emails. Say whether a written settlement must be signed by an authorized officer and how an unresolved issue advances.

Senior representatives

Escalation works only if the representatives can decide. Name offices—such as commercial director, project executive or equivalent—rather than individuals. Require representatives authorized to bind their appointing party when the meeting is intended to settle the matter. The ALSF sample senior-panel language expressly uses representatives with that authority. Specify quorum, remote attendance, the information package, meeting deadline, minutes and whether the panel may issue a non-binding recommendation or only facilitate settlement.

Mediation

Mediation is a confidential, neutral-assisted process; the mediator normally does not impose a merits decision. Identify the rules, appointing body, number and qualifications of mediators, place and language, and the period for completing the session. Provide a fallback if the parties cannot agree on a mediator—for example, appointment by the named institution. State who must attend and what settlement authority they must carry. The ALSF sample uses an agreed mediator with an institutional appointment fallback and equal sharing of mediator fees unless the parties agree otherwise; that is illustrative PPP wording, not a universal allocation rule.

Expert determination

Reserve this mechanism for a question that can be stated precisely, such as a measured quantity, test result or valuation formula. Define the expert’s qualifications, the documents and submissions permitted, inspection rights, timetable and standard of decision. State whether the result is binding, temporarily binding pending arbitration, or open to correction only for manifest error. Include a replacement process if the expert becomes unavailable and address confidentiality and fees.

Dispute boards

A standing board is particularly established in construction and can also accompany research and development, intellectual-property, production-sharing and shareholder agreements. The ICC describes one- or three-member boards that can provide informal assistance, recommendations and decisions. Establish the board at signature or commencement for a mid- or long-term contract if continuous support is intended.

Set the number and appointment method, member qualifications and independence requirements, compensation, site-visit and meeting arrangements, information access, confidentiality and replacement procedure. Define the effect of the board’s output. ICC identifies three models: a Dispute Adjudication Board issues decisions to be complied with immediately; a Dispute Review Board issues recommendations that become binding if no party objects within 30 days; and a Combined Dispute Board normally recommends but may decide under specified conditions. Confirm the current rules and your adopted wording before relying on those effects. Terminology and enforceability can vary by country.

Arbitration or litigation

The final tier must be complete even when earlier steps are mandatory. Identify the institution or court, seat where relevant, language, governing law, scope of disputes, number and appointment of arbitrators, service method and interim-relief rights. Say exactly what event permits commencement: expiry of a negotiation period, a failed mediation, a board decision or an express written declaration. Avoid wording that makes the endpoint depend on an undefined “attempt” to settle.

Make triggers, time limits and notices internally consistent

Most avoidable clause disputes come from cross-references that do not fit together. Run a consistency check across the entire contract.

  • Trigger: define “issue,” “claim” and “dispute,” and state whether an issue can be referred before a formal claim is determined.
  • Sequence: number the steps and state whether completion of each is a condition to the next.
  • Deadlines: give a start event, calendar or business-day calculation, time zone, extension rule and consequence of missing the date.
  • Authority: require settlement or decision authority at the tiers that are intended to resolve the matter.
  • Appointment: provide an institution or named appointing authority if agreement on a mediator, expert or board member fails.
  • Costs: allocate fees, expenses and deposits, while preserving the tribunal’s or court’s power where applicable.
  • Urgent relief: preserve access to emergency measures, safety directions, payment protection or limitation-preserving proceedings where the law permits.
  • Confidentiality and records: identify what may be used in later proceedings and how minutes, offers and technical material are handled.
  • Final endpoint: state when a party may commence arbitration or litigation and whether participation in an earlier tier remains required.

Prevent ambiguity from becoming a jurisdiction fight

The ICC guide gives a concrete warning: in one case, arbitration began before a clause’s mandatory mediation period expired. Uncertainty about how the clause operated produced a jurisdictional dispute and additional cost. Avoid that result by writing the waiting period, its start date, the required mediation event and the consequence of non-compliance in plain, connected sentences. Check that the arbitration or court clause does not contradict the escalation clause.

Do not state that negotiation or mediation automatically suspends a limitation period. Whether a precondition is enforceable, whether a limitation period is extended, and whether a board recommendation or expert determination is binding are questions for the governing law and forum. Obtain local advice before relying on any of those effects.

Construction-specific choices and the FIDIC reference point

For a construction project using the FIDIC Red Book, project-specific information belongs in the Particular Conditions. The publisher describes a November 2022 reprint of the 2017 second edition and advises legal and engineering review when standard terms are replaced or supplemented. Use that review to align the dispute provisions with the project’s notice channels, engineer or contract-administrator role, programme, payment regime and technical determination procedures.

FIDIC’s policy is consistent with an early-response model. In an announcement for a practice note launched 27 November 2023, FIDIC CEO Dr Nelson Ogunshakin said: “Avoiding disputes as early and as quickly as possible is in the best interests of all parties to construction projects and FIDIC strongly recommends that all project stakeholders take on board and act on the content of the new practice note.” That is a construction-sector policy position, not evidence that one standard sequence fits every project.

Balance prevention value against cost and delay

Every extra tier consumes management time and may require deposits, professional fees or standing retainers. A board can be valuable on a long, technically complex project with many interfaces, but disproportionate on a short, simple package. A senior panel may unlock a commercial decision, yet it can also postpone a necessary adjudicative step. Mediation is flexible, but it cannot guarantee settlement. Expert determination is efficient for a narrow technical issue and unsuitable for a broad entitlement dispute.

Choose the lightest mechanism that matches the likely risk, then make the exit to a binding endpoint unambiguous. Review the choice when the project changes materially, and record any agreed change through a signed contract amendment rather than informal correspondence.

A practical drafting and implementation workflow

  1. Map risks before drafting: list likely scope, design, access, delay, payment, quality, interface and regulatory disagreements; estimate which need technical, commercial or legal authority.
  2. Assign operational owners: create a contact schedule with role, substitute, notice address and authority level, and update it when personnel change.
  3. Draft the issue notice and meeting process: include the required facts, documents, response time, minutes and interim measures.
  4. Select escalation tiers: use negotiation, senior representatives, mediation, expert determination or a board only where the expected value justifies the burden.
  5. Write the endpoint first: settle the governing law, forum, seat, language, scope and interim-relief language, then connect each earlier tier to that endpoint.
  6. Test failure scenarios: ask what happens if a party refuses to meet, misses a deadline, rejects an appointment, withholds information, changes its representative or needs urgent relief.
  7. Cross-check the contract: reconcile definitions, notices, claims, limitation, payment, confidentiality, technical procedures, schedules and amendment requirements.
  8. Train the project team: explain the notice channel, issue log, escalation dates and authority limits at mobilisation; monitor open issues in regular governance meetings.
  9. Obtain specialist review: have counsel qualified in the governing law and, for technical forms, an experienced engineer review any bespoke replacement or supplement to standard wording.

A well-designed clause does not remove the need for judgment. It gives the people closest to the work a reliable first response, gives senior decision-makers a defined opportunity to settle, and leaves no uncertainty about how a binding decision can ultimately be obtained.
