Construction companies should disclose an actual, potential or perceived conflict as soon as they identify it, using the recipient, form or portal named in the tender, contract, law or company policy. The written disclosure should identify the person and role, describe the personal, professional or financial interest, explain how it could affect the procurement or contract decision, and propose or record controls. Keep the record current when circumstances change.
The governing answer depends on where the procurement occurs, whether the company is a bidder, subcontractor, consultant, contracting authority or contract manager, the solicitation and contract clauses, and internal policies. The United Kingdom, United States federal government and Canadian federal government examples below are separate frameworks—not universal legal advice for every country, state, province, local authority or private project. For a live tender or possible exclusion, send the matter through the designated procurement, compliance, ethics or legal channel.

What is a conflict of interest in construction procurement?
A conflict exists when an interest or relationship could affect, or appear to affect, a person’s impartiality in a tender, contract award, subcontract, change order, payment decision, inspection or other contract-administration act. The interest may be personal, professional or financial, and either direct or indirect. A conflict can be:
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitches- Actual: the competing interest is affecting the decision now.
- Potential: circumstances could create an improper influence later.
- Perceived: a reasonable observer could doubt the decision’s fairness even when no improper influence is proved.
Examples include an evaluator who owns shares in a bidding supplier; a project manager whose close associate works for a subcontractor; a consultant who helped write specifications and later joins a bidder; or an employee who can approve a change order for a company that employs a family member. Whether a relationship involving an associate must be declared depends on the governing policy, so describe the facts rather than deciding privately that they are harmless.

First identify the rules and your role
Before writing a declaration, establish which requirements govern the work. A private owner’s contract may have a different process from a public tender, and a subcontractor’s duties may differ from those of a contracting authority or consultant.
- Record the country, state, province or other place where the procurement occurs and whether it is public or private.
- Identify your role: bidder, prime contractor, subcontractor, designer, owner’s representative, evaluator, contracting authority or contract administrator.
- Read the solicitation, framework, contract, ethics clauses, conflict forms and instructions about who receives disclosures.
- Check internal registers, annual declarations and rules for gifts, outside employment, ownership, relatives and post-employment restrictions.
- Note the decisions the person can influence: specifications, bidder questions, site visits, evaluation, award recommendation, negotiations, inspection, payment, claims or change orders.
If the documents do not name a recipient, ask the procurement lead, compliance officer, ethics contact or contract authority how to submit and protect the record. Do not assume that posting a disclosure on a public website is appropriate.
How to disclose a conflict: a practical workflow
-
Identify the interest and the decision
State who holds the interest, what the interest is, and the procurement or contract decision to which it relates. Include ownership, employment, advisory work, gifts, debts, family or close-associate relationships and any other fact required by the applicable policy. Explain whether the person can prepare requirements, advise the owner, evaluate bids, recommend an award, manage performance or approve changes.

Disclose early through the designated channel
Use the tender form, procurement portal, contract notice procedure or internal ethics system specified by the governing documents. If a concern arises after submission, notify the same authority immediately rather than waiting for an evaluation meeting or award. A disclosure should be updated when an interest, role or relationship changes.
-
Describe the connection without conclusions that hide facts
Use plain, specific language. Identify the organization, position, dates and nature of the relationship, and explain any access to non-public information. Instead of writing “no issue,” write what the person owns, who employs the associate, which documents the person saw and which decisions the person can influence.
-
Ask for an assessment and interim direction
Request a written determination about whether the situation is actual, potential or perceived, and whether the person should stop participating while it is assessed. A bidder should ask the contracting authority how to proceed; an employee should follow the company’s escalation route. Preserve the tender timetable and confidentiality while awaiting instructions.

Review through contract completion
Recheck the declaration at milestones such as clarification, evaluation, negotiation, award, mobilisation, payment certification, variations and close-out. A conflict can arise after award, so a clean tender-stage declaration does not end the obligation to monitor.
What a written conflict declaration should contain
No single form applies to every construction project, but the following fields create an auditable record and reflect the contents described in UK government procurement guidance.
| Record field | What to write |
|---|---|
| Person and role | Name, employer, project role and the decisions or access held. |
| Related person or organization | Bidder, subcontractor, consultant, owner, family or close associate and the relevant position. |
| Nature of interest | Ownership, employment, fee, gift, relationship, prior work, debt or other personal, professional or financial interest; state whether it is direct or indirect. |
| Connection to the procurement | Explain the tender, package, contract, change order or administration decision affected, and any non-public information or influence. |
| Timing and status | Date discovered, whether actual, potential or perceived, and whether circumstances are ongoing. |
| Assessment | Who reviewed it, the reasoning, and whether an unfair advantage, disadvantage or impaired judgment could remain. |
| Mitigation and owner | Recusal, reassignment, independent review, information controls or another measure; name the person responsible for applying it. |
| Review plan | Next review date, trigger events and where supporting documents are stored. |
| Confirmation | Declaration date, acknowledgement by the recipient and any directions given. |
Attach only information needed for the assessment and handle personal or commercially sensitive material according to the applicable privacy, security and records rules.
Choose proportionate controls instead of treating disclosure as automatic exclusion
Disclosure is a trigger for assessment, not proof that someone must be removed or that a supplier must be rejected. The decision should match the likelihood and consequence of impaired judgment or an unfair supplier advantage.
| Risk situation | Possible control | Evidence to retain |
|---|---|---|
| A person can influence evaluation or award | Remove the person from the evaluation, recommendation and related communications; assign an independent replacement. | Revised responsibility matrix, access log and approval. |
| One assessor has relevant knowledge but a competing interest | Use multiple assessors, recorded moderation and an independent observer. | Panel membership, scoring records, moderation notes and observer report. |
| A supplier may have information unavailable to competitors | Identify the information, provide equivalent material to all suppliers where permitted, and monitor communications. | Distribution record, clarification log and monitoring checks. |
| Management needs continuing assurance | Require management review, sign-off and periodic conflict confirmations. | Signed approvals, review dates and updated declarations. |
| Controls cannot remove the advantage or bias | Pause, cancel and rerun the procurement, or take the other remedy allowed by the governing rules. | Options analysis, decision rationale and notifications. |
Explain why the selected measure addresses the specific risk, who will monitor it and what event would cause escalation. If a supplier refuses a required control or an unfair advantage cannot be avoided, the authority may have grounds for exclusion under the applicable regime.

Construction situations that commonly require disclosure
Bid preparation and tender evaluation
Disclose before a person drafts specifications, answers bidder questions, accesses submissions or scores tenders. A company that helped develop requirements may need to explain that role before bidding for the resulting work. An evaluator with ownership or employment ties to a bidder should not score that bidder unless the governing authority determines a documented control is sufficient.
Subcontractor and supplier selection
Declare referral fees, ownership, family connections, side agreements and prior employment when selecting a trade contractor or materials supplier. Separate technical assessment from commercial approval where practical, and record equal treatment of competing suppliers.
Change orders, claims and payment certification
A conflict can emerge after award. A contract manager who has accepted outside work from a subcontractor, or who stands to benefit from an approved variation, should disclose before reviewing scope, price, entitlement or payment. Reassign the review and preserve an independent approval trail where required.

Jurisdiction examples: do not treat them as universal rules
United Kingdom: Procurement Act 2023 covered procurements
Cabinet Office guidance on conflicts under the Procurement Act 2023, updated 13 July 2026, says management begins at planning and continues through procurement and contract management to the end of the contract or dynamic market. A contracting authority must take reasonable steps to identify conflicts and potential conflicts and keep them under review. Its conflicts assessment is prepared before the relevant tender or transparency notice, records identified conflicts and mitigation, and, for a perceived conflict, records steps showing why an actual or potential conflict does not exist.
The guidance describes declarations specific to a procurement, checks of existing declarations and registers, and confirmation of interests with individuals or teams as possible identification methods. It also describes supplier mitigation and specified circumstances in which exclusion may be available when an unfair advantage cannot be avoided or required steps are refused. The guidance page notes that further material is planned to replace its conflicts content accompanying PPN 04/21, so authorities and suppliers should verify the current text and solicitation terms.

England: Planning Inspectorate policy example
The Planning Inspectorate’s Conflict of Interest Policy, updated 29 July 2026, requires its employees and contractors to declare actual or perceived conflicts immediately, review them after material changes and at least annually, and follow contract provisions explaining how supplier conflicts are declared, considered and managed. This is an organization-specific policy for England, not an automatic rule for every construction business.
United States: federal acquisition examples
Federal Acquisition Regulation organizational-conflict provisions direct contracting officers to analyze planned acquisitions early and avoid, neutralize or mitigate significant potential conflicts before award. The concerns include a contractor role that could bias judgment or create an unfair competitive advantage. Applicability depends on the federal acquisition and the clauses in the contract or solicitation.
FAR Subpart 3.11 addresses personal conflicts of interest for contractor employees performing acquisition functions closely associated with inherently governmental functions. It includes screening, updates when personal or financial circumstances change, prevention or mitigation, oversight and reporting covered violations to the contracting officer. These employee-specific duties do not automatically cover all construction workers or private projects.
Canada: federal procurement example
A Treasury Board of Canada Secretariat notice dated 28 February 2025 describes a federal guide covering identification, reporting and monitoring; documentation and record maintenance; protection of sensitive information; recusal or reassignment where appropriate; and supplier obligations. It is a federal policy example and should not be generalized to provincial, municipal or private work.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Records, confidentiality and governance
- Store the declaration, assessment, instructions, mitigation evidence and review history in the project record with controlled access.
- Keep a current register that links the person, project, status, mitigation owner and next review date.
- Limit circulation of personal and bid-sensitive information to people who need it for the assessment.
- Train evaluators, estimators, project managers and contract administrators on when and where to declare.
- Require a new confirmation at material milestones and a prompt update after a role, ownership, employment or relationship changes.
- Ensure a person who receives a disclosure cannot quietly close it without a documented assessment or escalation route.
Common mistakes and how to correct them
Waiting until award
Why it fails: late notice can compromise evaluation and create avoidable schedule and credibility problems. Correction: disclose when the interest is identified, even if the effect is uncertain, and request interim direction.
Using vague wording
Why it fails: “I know the supplier” does not reveal ownership, employment, access or influence. Correction: state the relationship, dates, decisions and information involved.

- Clog resistant tip writes on dusty, wet and oily surfaces and is optimized for rough surfaces such as OSB, cinderblock and concrete

Assuming disclosure ends the issue
Why it fails: a declaration without assessment, mitigation and review leaves the risk unmanaged. Correction: obtain a recorded decision, assign a mitigation owner and set a review trigger.
Automatically removing every connected supplier
Why it fails: many regimes require a fact-specific assessment and proportionate controls. Correction: test whether documented measures remove the advantage or bias, and follow the applicable exclusion rules only when their conditions are met.
Ignoring perceived conflicts
Why it fails: confidence in a fair procurement can be damaged even without proven improper conduct. Correction: record why the appearance exists and what independent step addresses it.

Why it fails: an unresolved risk can affect award validity, contract performance and reporting duties. Correction: escalate to the named procurement, ethics, compliance or legal authority, and preserve the decision trail.
A concise declaration example
“I am the commercial manager for the electrical package. My spouse is employed by Brightline Electrical Services, a bidder for that package. I reviewed the tender specifications and have access to submitted prices, but I have not scored bids. I am declaring a potential and perceived conflict on 17 October 2026. I request removal from evaluation, restriction of my tender access and appointment of an independent reviewer. Please confirm the mitigation, record owner and next review date.”
Adapt the wording to the actual parties and governing form; do not copy an example in place of the required procedure.
