A protective construction payment schedule ties every draw to measurable work or a clearly defined milestone, then sets the billing cut-off, required evidence, review period, due date, retainage treatment and late-payment remedy. Pair it with a rolling cash-flow forecast so you can see a shortfall before payroll, suppliers or taxes are due.
Payment law is not uniform. The signed contract, procurement rules and governing jurisdiction determine notice deadlines, retainage limits, prompt-payment rights and whether pay-when-paid language is enforceable. Treat the schedule below as a drafting framework, not a substitute for contract review.

What a construction payment schedule must accomplish
A schedule is more than a list of percentages. It creates a payment clock that all parties can administer and audit. For each payment event, it should answer six questions:
The Tool Desk
Outbyte Driver Updater FREEScan for outdated or missing drivers - takes under a minuteDriver Scan →Outbyte PC Repair FREEClear out junk files and repair common Windows errorsFree Scan →- What work, quantity or milestone earns the payment?
- What documents prove that the work qualifies?
- When must the application be submitted, and when does the reviewer respond?
- When is the approved amount due?
- What is withheld as retainage, and what releases it?
- What happens if an amount is disputed or paid late?
Define these items for the owner, prime contractor and every tier of subcontractor. An upstream delay should not be allowed to become an invisible downstream financing obligation.

Choose a payment basis that can be measured
Select one primary basis and state how it will be verified. Combining methods is possible, but the contract should identify which method controls if they conflict.
| Basis | How it works | Strength | Risk to cash flow |
|---|---|---|---|
| Schedule of values | The contract price is divided into priced work items, with approved quantities or percentages billed against each item. | Creates a detailed audit trail and works well for monthly progress billing. | Front-loaded or inflated values can create disputes unless the schedule is reviewed before work starts. |
| Percentage of completion | Payment follows an agreed measurement of physical or earned progress. | Tracks actual production on projects with continuous work. | Subjective certification can delay approval; define the measurement method and supporting records. |
| Milestone payment | A fixed amount becomes billable when an objectively described event is achieved and accepted. | Fast to administer when acceptance evidence is clear. | A missed milestone can defer a large amount even when substantial work is complete. |
| Completion-heavy schedule | Most value is paid at final completion or closeout. | Gives the payer strong completion leverage. | Places the greatest financing burden on the contractor and subcontractors. |
For U.S. federal contracts, Federal Acquisition Regulation (FAR) Part 32 recognizes progress payments based on the estimated amount and value of work performed, including milestone payments. That federal framework does not make one method mandatory for private or non-federal work.
Write the payment events so nobody has to guess
Describe the earning condition
Use quantities, installed components, test results, inspection records or acceptance certificates rather than phrases such as “substantially complete.” If a milestone covers commissioning, specify the tests, punch-list threshold and person authorized to accept it. State whether an accepted section or partial facility can trigger a payment. Federal prompt-payment rules expressly contemplate milestone achievement and partial deliveries accepted by the government.
Set the billing cut-off and submission package
State the recurring cut-off date and the delivery method. List every item that makes an application “proper,” such as:
- Schedule-of-values detail and approved quantities
- Progress photographs, inspection reports, test results or other evidence of completion
- An updated project schedule and explanation of critical-path variance
- Approved change orders and a separate listing of pending changes
- Lien waivers, releases, bond information or statutory declarations where required
- Invoices, certifications and payee information required by the contract
FAR 52.232-27 requires substantiation and certification for covered federal progress-payment requests. On any project, identify the exact recipient and retain proof of delivery; a missing document can prevent the payment clock from starting.

Separate review from the payment deadline
Give the reviewer a defined period to approve, reject or request clarification, then give the payer a separate period to release an approved amount. Require a rejection to identify the disputed quantity, quality issue or missing document. This prevents an unanswered application from remaining in limbo.
Under FAR 52.232-27, an approved progress payment is due 14 days after the designated billing office receives a proper payment request. That is a U.S. federal contract rule, not a universal construction deadline.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsUse a schedule that shows the entire payment path
A practical schedule can be set out as a table in the contract or payment manual. Adapt the dates and percentages to the project rather than copying a “standard” schedule.
| Payment event | Evidence required | Application cut-off | Review and response | Due-date rule | Retainage treatment |
|---|---|---|---|---|---|
| Mobilization or approved advance, if permitted | Bonding, insurance, procurement plan and permitted cost detail | Contract date or stated monthly cut-off | Confirm that all preconditions are met | State the number of days after a proper application | State whether retainage applies to the advance |
| Monthly progress | Measured quantities, photos, schedule update, certifications and required releases | Fixed monthly date and delivery channel | Reviewer identifies approval or specific exceptions | Count from a proper application or approval, as the contract says | Withhold the stated percentage only from eligible work |
| Milestone or section acceptance | Inspection, test, commissioning or acceptance record | On achievement of the defined event | Acceptance authority and response period are named | State whether partial acceptance earns payment | State whether the milestone reduces accumulated retainage |
| Substantial completion | Certificate, punch list, closeout plan and required handover documents | On certification | Set a short, objective closeout review | State the release percentage and due date | Identify the amount held for final completion |
| Final payment | Final account, warranties, as-builts, releases and completion certificate | After all closeout conditions are met | One final reconciliation with written exceptions | State the final payment deadline | Release the balance when the listed conditions are satisfied |
If the contract does not state a value, date or trigger, write it into the negotiated schedule. Do not rely on an informal promise that “the next draw” will cover the gap.
Control retainage instead of letting it become permanent financing
Retainage should secure completion and correction obligations, not fund the payer indefinitely. State the percentage, the base to which it applies, any cap, the events that permit reduction and the release date. Also specify whether retainage is calculated on approved work only, whether it applies to approved changes, and how it flows to subcontractors.

For the cited U.S. federal rule, FAR Part 32 says the amount withheld “shall not exceed 10 percent of the approved estimated amount” under its stated conditions. The same framework says retainage should not substitute for effective contract management and should be released promptly when the requirements for release are complete. That 10 percent ceiling applies to the stated federal context; private, state and local rules may differ.

Track withheld and released retainage as separate cash-flow lines. A contractor can be profitable on paper while facing a severe liquidity gap if retainage accumulates across several billing periods.
Make disputes narrow and pay undisputed amounts
Include a notice procedure for quantity, quality, schedule, compliance and documentation objections. The notice should identify the disputed line item, the factual reason, the amount withheld and the evidence needed to cure it. Set a short deadline measured from receipt of the application, and require the payer to release the undisputed balance on time.
Do not let a general reservation of rights suspend an entire application. Require a revised certificate or written determination when the dispute is resolved, and state whether interest or other charges accrue on late undisputed sums.
In the United Kingdom, the Construction Act requires a mechanism for determining when sums become due and recognizes suspension rights where payment is overdue and no effective withholding notice has been given. RICS guidance describes the Act’s purpose as improving cash flow and resolving disputes more quickly. The exact notice, adjudication and suspension steps depend on the contract and the applicable UK legislation.

Flow the timing and risk terms down to subcontractors
Give each subcontractor the upstream cut-off, document list, review period, due date, retainage rule and dispute process before work begins. A subcontractor should know whether its application is paid on the same calendar as the prime’s application or on a separate cycle.
Pay-when-paid and pay-if-paid clauses are not interchangeable and are not universally enforceable. A pay-when-paid clause generally purports to regulate timing; a pay-if-paid clause attempts to transfer the risk of the owner’s nonpayment. Governing law, wording, notice compliance and insolvency exceptions control the result.
FAR 52.232-27 includes a federal clause requiring payment to a subcontractor no later than seven days after the prime receives the corresponding funds, subject to that clause’s conditions. This seven-day rule applies to the covered federal arrangement, not automatically to private projects.
UK statutory rules restrict clauses that make payment conditional on receipt under a separate contract. New Zealand legislation expressly addresses clauses commonly called “pay when paid” or “pay if paid.” Those references do not establish one worldwide rule; identify the governing law and obtain local contract advice before relying on such language.

Update the forecast whenever a milestone is certified, an application is rejected or revised, a change order is executed, or an upstream payment is delayed. Run a downside case in which approval slips by the contractual review period and disputed cash is excluded until resolution. That scenario shows the funding gap you must address before a missed payroll or supplier account.
Maintain a payment register
For every application, record the application date, completeness check, reviewer, approval date, contractual due date, amount requested, amount approved, amount paid, retainage, disputed balance and the person responsible for follow-up. Keep the transmittal, receipt confirmation and all review comments with the register.
What to do when a payment is late
- Verify the trigger. Confirm that the application was delivered to the contractual recipient, all required documents were included and the due-date calculation is correct.
- Send a written status request. Ask for the approval decision, undisputed amount, reason for any withholding and the expected payment date. Cite the contract clause and preserve proof of delivery.
- Issue any required statutory notice. Lien, bond, payment notice, adjudication or suspension rights often have strict deadlines that run independently of informal negotiations.
- Keep performing only within your risk authority. Escalate to the contract administrator, surety or legal adviser before stopping work; an unauthorized suspension can create a separate breach.
- Protect the next cycle. Correct the rejected item, resubmit a complete package and update the forecast and payment register.
Interest, suspension, adjudication, lien, bond and termination remedies vary by contract and jurisdiction. A late-payment clause should identify which remedies are cumulative, what notice is required and whether undisputed work must continue.

Have the completed schedule checked against the signed agreement, procurement requirements and local law before execution. A clear schedule cannot override a mandatory statutory rule, but an unclear schedule can make an otherwise payable draw difficult to prove.
