Before buying or leasing retail space in a redeveloped property, verify that your exact business use is allowed, review environmental records and any continuing restrictions, assess the building and its utilities, confirm accessibility and required approvals, and put responsibility for unfinished work and costs in writing. This checklist is US-oriented; zoning, building and fire approvals, accessibility rules, environmental requirements, and lease law vary by state and municipality.
Start with the use, deal, and work you plan to do
Write down what the store will actually do—not just its broad retail category. Food preparation, alcohol sales, personal services, storage, deliveries, and outdoor displays can raise different approval, building, or site questions. Also identify whether you are buying the property or leasing a unit, what alterations you plan, and when you need to open. The US Environmental Protection Agency’s Revitalization-Ready Guide, Chapter 3: Reuse Assessment explains that a feature can be an opportunity for one proposed use and a constraint for another.
Verify that the use and property rights fit
Confirm the proposed use with local authorities
Ask the local planning and building authorities whether your specific use is permitted at the address, whether it is allowed as of right, and what additional approvals remain. Request the actual records that apply to the particular property or suite. A redevelopment label, marketing brochure, or the presence of another tenant does not establish that your business is approved to operate there.
Review title, plans, and recorded restrictions
Have a title professional or attorney review relevant title materials, surveys, easements, liens, encroachments, access rights, deed restrictions, redevelopment documents, and land-use controls. Look specifically for provisions that could limit your use, deliveries, signage, parking, construction, or excavation. EPA’s reuse assessment and reuse planning guidance identify matters such as zoning, easements, encroachments, liens, and land-use controls as relevant to property reuse.

Do not assume an occupancy approval or permit can be transferred to a new operator or a different use. Obtain the records for the specific space and proposed operation from the authority having jurisdiction; there is no universal certificate-of-occupancy checklist that applies across all US localities.
Establish what the environmental record does—and does not—show
For buyers, address AAI before taking title
If you are buying in the United States and seeking specified liability protections under the federal Comprehensive Environmental Response, Compensation, and Liability Act (CERCLA), address All Appropriate Inquiries (AAI) before taking title. EPA identifies ASTM E1527-21 and E2247-23 as standards consistent with AAI requirements. Ask an environmental professional and counsel to confirm which requirements apply to your transaction, whether the report is current for that purpose, and what continuing obligations may follow. Completing a report after closing does not meet the stated before-title timing.
Read reports and cleanup records in context
Request available Phase I and Phase II environmental site assessments, cleanup plans and completion determinations, agency correspondence, environmental covenants, monitoring records, and documents describing institutional or engineering controls. Check whether restrictions limit digging, construction, groundwater use, or access to particular areas.

A Phase I is an assessment, not proof that soil or groundwater is uncontaminated or that every use is safe. It may identify conditions that merit more work; it does not mean every site needs a Phase II. If further investigation is recommended, have an environmental professional explain the concern and whether sampling is appropriate for the property and proposed work. Iowa Department of Natural Resources describes Phase II work as sampling and analysis to confirm or deny impacts in suspect areas; that description is Iowa-specific, and the scope elsewhere is site-specific.
Tenants should understand conditions and lease duties
Ask the landlord for available environmental reports and records. Find out whether controls, monitoring, or future investigation could affect customer areas, deliveries, construction, or normal occupancy. Document the space’s condition at handover and address in the lease notice, access, cooperation, responsibility, and restoration if monitoring or environmental work occurs. EPA reuse guidance recognizes that environmental diligence can matter in leasing as well as acquisition; the legal consequences depend on the jurisdiction and transaction.
Test the building and site against the real operating needs
A space that looks ready may still lack the capacity or condition your business needs. Arrange a property-condition review by qualified building and engineering professionals, and define its scope around the planned operation. EPA’s reuse assessment identifies building condition and infrastructure among relevant diligence subjects.

- Building systems: Review structure and roof, HVAC, electrical service, plumbing, and fire and life-safety systems.
- Operations: Check loading and delivery arrangements, waste handling, storage, parking, and the feasibility of planned tenant improvements.
- Utilities: Confirm the provider, service and connection status, available capacity, and upgrade cost for electricity, water, sanitary and storm sewer, gas, telecommunications, and any other essential services.
- Site access: Inspect pedestrian routes, sidewalks, parking, deliveries, drainage, and any access easements or construction constraints.
- Site conditions: Ask whether topography, floodplain, wetlands, or other environmental features affect the use or proposed work.
For each system, distinguish between what is present, what is operational, what has enough capacity, and what still needs work. EPA’s reuse assessment and reuse planning guidance identify utility availability and capacity, transportation and pedestrian access, and site features as matters to evaluate.
Check accessibility and approvals for proposed work
Review the accessible route from public ways or accessible parking to the entrance, and assess the entrance, customer service areas, restrooms, and any common areas affected by the project. Have a qualified accessibility professional and the local building official assess the existing conditions and proposed scope against applicable requirements.
The US Department of Justice’s 2010 ADA Standards state that covered alterations must be accessible to the maximum extent feasible and address path-of-travel connections. Requirements can depend on the work and the applicable state and local rules; do not assume that a previous renovation resolved the obligations for your project.

DOJ’s Title III manual explains that a lease may allocate accessibility responsibilities between landlord and tenant, but that contractual allocation does not remove either party’s applicable liability to the public under the ADA. Make the lease specify who obtains permits, completes and pays for accessible work, and maintains common areas, while recognizing that the contract does not erase statutory duties.

This is a practical comparison, not a determination of liability for a particular transaction. EPA’s guidance recognizes diligence needs in both acquisition and reuse; the parties’ actual legal obligations depend on the facts, applicable law, and documents.
Put open items, costs, and deadlines into the deal
Create a written schedule of unresolved approvals, repairs, environmental measures, construction, utility upgrades, monitoring, and tenant improvements. For each item, record who will obtain approval, perform the work, pay, provide access, and bear delay or interruption risk. EPA’s reuse assessment and planning approach emphasize constraints and feasibility; this schedule is a practical way to translate those issues into deal terms.

If you are buying
Coordinate findings with purchase contingencies, inspection and site-access rights, seller disclosures, title objections, and closing timing with counsel. Decide how unresolved approvals or work affect whether and when you proceed.
If you are leasing
Resolve permitted use, delivery condition, landlord work, tenant work, improvement approvals and allowance, maintenance, environmental controls, compliance duties, restoration, and remedies if essential approvals fail. Confirm that the lease’s allocation of costs and tasks matches the work schedule and the parties’ intended responsibilities.
Use a consistent scorecard for competing spaces
Compare spaces on the same six questions so a lower asking price or base rent does not conceal greater opening cost or uncertainty:
- Use certainty: Is the exact business use allowed, and which approvals remain?
- Environmental certainty: What is documented, what controls remain, and what investigation or monitoring may be needed?
- Physical readiness: What repairs, accessibility changes, or tenant improvements remain?
- Capacity and access: Can utilities, parking, deliveries, pedestrian access, and infrastructure support operations?
- Responsibility: Which party owns each approval, repair, environmental task, operating cost, and restoration obligation?
- Total cost and timing: What will it cost to open and operate, and which unresolved items could delay opening?
EPA states in its Revitalization-Ready Guide, Chapter 3: Reuse Assessment: “Due diligence is an essential step in evaluating a property regardless of the local government’s involvement in a property transaction or the property redevelopment.”
Apply the checklist to the property’s jurisdiction
The federal sources cited here are US-specific, and this checklist is not a substitute for current local records or transaction advice. Zoning, occupancy, building and fire approvals, environmental cleanup requirements, accessibility rules, permit transfer, and lease law can differ by state and municipality. Obtain current information from the relevant agencies and use qualified environmental, engineering, title, accessibility, and legal professionals for the actual site and deal.
